through the online shop operated by IPV GmbH.
(2) IPV GmbH sells the HotelPass products in its own name and for its own account.
(3) The online shop is intended exclusively for persons who have reached the age of 18.
(4) These GTC govern the purchase of the HotelPass from IPV GmbH. The subsequent registration and use of the booking platform, as well as the arrangement and booking of specific hotel stays, may be subject to additional terms and conditions of the respective platform operator, intermediary and partner hotel.
§ 2 Subject Matter of the Contract and Functioning of the HotelPass
(1) The subject matter of the contract between the customer and IPV GmbH is the purchase of a HotelPass in the variant selected by the customer.
(2) IPV GmbH obtains the anonymous activation and/or voucher codes required to use the HotelPass products from:
World Consulting Service Ltd Inc. (WCS)
2701 Centerville Road
Wilmington, DE 19808
USA
and sells these HotelPass products in its own name and for its own account.
(3) After successful purchase, the customer receives an anonymous activation and/or voucher code from IPV GmbH. After registration, this code enables the customer to use the services assigned to the respective HotelPass at participating partner hotels, subject to the applicable availability and booking conditions.
(4) The purchase of a HotelPass does not constitute a contract for a specific hotel stay. In particular, no specific hotel, destination, travel date or room is reserved.
(5) IPV GmbH does not itself provide accommodation services and does not act as a tour operator.
§ 3 Conclusion of Contract
(1) The presentation of HotelPass products in the online shop does not constitute a legally binding offer, but an invitation to submit an order.
(2) The customer selects the desired HotelPass and completes the electronic ordering process.
(3) Before submitting the order, the customer may review and, if necessary, correct the information entered.
(4) By clicking the payment obligation order button identified accordingly, the customer submits a binding order for the selected HotelPass.
(5) After receipt of the order, the customer receives an electronic confirmation at the e-mail address provided.
(6) The details of the conclusion of the contract are additionally governed by the ordering process presented in the online shop.
§ 4 Prices and Payment Terms
(1) The prices displayed in the online shop at the time of the order apply.
(2) The payment methods available in each case are displayed to the customer in the checkout before the order is completed.
(3) The purchase price for the HotelPass is paid exclusively to IPV GmbH.
(4) The purchase price of the HotelPass does not include the mandatory meal package charged when subsequently using a partner hotel, nor any applicable spa taxes, local taxes, tourism levies or other local charges.
(5) The customer will be informed of these additional costs in the online shop and in connection with the subsequent hotel booking.
§ 5 Digital Provision
(1) The HotelPass is provided exclusively in digital form.
(2) After successful completion of the ordering and payment process, the customer receives the activation and/or voucher code belonging to their HotelPass at the e-mail address provided when placing the order.
(3) No postal shipment is made.
(4) The customer is responsible for providing a correct and accessible e-mail address and for technically enabling receipt of the e-mail.
(5) The code transmitted by IPV GmbH is, in principle, capable of being activated when provided and may be registered immediately by the customer.
§ 6 Registration, Activation and Validity
(1) To use the HotelPass, the customer registers the code received from IPV GmbH via the registration and booking platform provided for this purpose at Gutscheinreisen24.de.
(2) There is no activation deadline specified by IPV GmbH for registration.
(3) For HotelPass variants with 3, 7 or 14 nights, a validity period of 60 months begins upon successful registration.
(4) For the 365 Nights HotelPass, a usage and validity period of 365 days begins upon successful registration.
(5) Before registration, the anonymously issued HotelPass is generally not linked to a specific person and may be given as a gift or transferred to another person.
(6) Upon registration, the HotelPass is assigned to the registered holder. After registration, the HotelPass is personal to that holder and generally may no longer be transferred to other persons.
§ 7 HotelPass for 3, 7 or 14 Nights
(1) The HotelPass for 3, 7 or 14 nights entitles the holder, during its validity period, to use the purchased number of overnight stays for two persons in a double room at participating partner hotels.
(2) The included overnight stays do not have to be used consecutively.
(3) There is no minimum number of overnight stays per stay.
(4) The available nights may be divided as desired, within the validity period, among several stays and different participating partner hotels.
(5) Each specific use is subject to the availability of the selected partner hotel and the conditions applicable to the respective booking.
(6) Unused nights may be used for further stays within the validity period.
§ 8 365 Nights HotelPass
(1) The 365 Nights HotelPass enables the registered holder, for a usage period of 365 days from activation, to use participating partner hotels without a fixed limit on the number of hotel nights.
(2) The 365 Nights HotelPass is generally not subject to a fixed limit on the number of persons.
(3) Subject to the respective availability, capacity and booking conditions of the partner hotel, the registered holder may book several double rooms for persons travelling with them.
(4) The HotelPass may therefore be used in particular for stays together with family members, friends or other accompanying persons.
(5) An essential requirement for each use is that the registered holder of the 365 Nights HotelPass personally participates in the respective hotel stay.
(6) Use of the 365 Nights HotelPass exclusively for stays of third parties in which the registered holder does not participate is excluded.
(7) The absence of a fixed limit on the number of persons does not guarantee that a hotel will have a specific number of double rooms available on a particular date. The number and availability of bookable rooms depend on the actual capacities and conditions of the respective partner hotel.
(8) There is no entitlement to a specific hotel, a specific date, a specific number of rooms or a specific room category.
§ 9 Partner Hotels and Availability
(1) The HotelPass may be used at the partner hotels participating at the relevant time, subject to their respective availability.
(2) The composition of the hotel portfolio may change during the validity period of the HotelPass. Individual hotels may be added to or removed from the offering.
(3) There is no entitlement for a specific partner hotel to remain part of the hotel offering throughout the entire validity period.
(4) Partner hotels may make separate or limited room allocations available to HotelPass users. Therefore, it may happen that a hotel still offers rooms for regular booking through other distribution channels while the allocation intended for HotelPass users for the desired period has already been exhausted.
(5) The HotelPass does not create an entitlement to book a specific hotel, destination, date, room category or—in the case of the 365 Nights HotelPass—a specific number of rooms.
§ 10 Booking Platform and Booking Procedure
(1) After registering the HotelPass, the customer receives access via the designated platform to the available partner hotels and booking options.
(2) Different booking procedures may be offered depending on the partner hotel.
Directly bookable hotels
At partner hotels identified accordingly, the customer may use the designated booking option and arrange the specific stay directly with the respective hotel.
Hotels with booking requests:
For other partner hotels, the customer first submits a booking request to WCS. WCS coordinates the requested availability with the respective partner hotel and subsequently provides the customer with the corresponding response and/or booking confirmation.
(3) A booking is binding only once it has been confirmed in accordance with the booking procedure provided for the respective partner hotel.
(4) The use of the booking platform and the arrangement of a specific hotel booking are additionally subject to the GTC provided for this purpose by WCS.
§ 11 Accommodation Contract and Role of IPV GmbH
(1) The purchase of the HotelPass from IPV GmbH does not constitute an accommodation contract.
(2) The contract for the subsequently selected specific hotel stay is concluded directly between the customer or guest and the respective partner hotel.
(3) WCS acts as an intermediary in connection with the specific hotel booking.
(4) IPV GmbH is not a party to the respective accommodation contract and does not itself provide hotel or accommodation services.
(5) In particular, IPV GmbH does not act as a tour operator. The purchase of the HotelPass from IPV GmbH does not constitute the booking of a package holiday.
(6) The statutory and contractual obligations of IPV GmbH arising from the contract concluded between it and the customer for the purchase and proper provision of the HotelPass remain unaffected by this.
§ 12 Mandatory Meal Package
(1) As a general rule, use of the overnight accommodation options available through the HotelPass requires the booking and payment of the mandatory meal package specified for the respective partner hotel.
(2) The meal package is calculated per person and per night.
(3) The meal package is not included in the purchase price of the HotelPass and is charged additionally.
(4) The applicable amount or the amount relevant to the specific booking can be viewed before completion of the respective hotel booking or booking request.
(5) The meal package includes at least half board, generally consisting of breakfast and dinner. Depending on the partner hotel, it may include additional services or components specified in the respective booking offer.
(6) The amount of the meal package may vary depending on the hotel, season, booking period and other factors determined by the hotel.
(7) WCS collects the meal package exclusively in the name and on behalf of the respective partner hotel as an authorized collection agent.
(8) IPV GmbH is neither the recipient of payment nor the economic beneficiary of the meal package.
§ 13 Additional Costs and Local Charges
Spa taxes, local taxes, tourism levies and comparable local or governmental charges are not included in the purchase price of the HotelPass.
Where such charges apply, they must be paid additionally by the guest in accordance with the provisions of the respective hotel or destination.
§ 14 Cancellation and Changes to Specific Hotel Bookings
(1) The cancellation, modification, rebooking or no-show in connection with an already booked hotel stay are governed by the cancellation and booking conditions of the respective partner hotel communicated at the time of the respective hotel booking.
(2) This applies in particular to bookings expressly designated as non-cancellable or “Non-Refundable”.
(3) The cancellation of a specific hotel booking is legally distinct from the withdrawal from the original purchase contract for the HotelPass with IPV GmbH.
(4) The customer's statutory rights remain unaffected.
§ 15 No Statutory Right of Withdrawal for Specific Date-Bound Hotel Bookings
For a specific accommodation contract concluded for a particular date or period, consumers generally have no statutory right of withdrawal under the applicable statutory provisions.
This applies exclusively to the subsequent specific hotel booking and is separate from the statutory right of withdrawal concerning the distance purchase of the HotelPass from IPV GmbH.
§ 16 Support from IPV GmbH
(1) IPV GmbH additionally provides its HotelPass customers with customer service by e-mail and telephone.
(2) This support is intended in particular to assist with general questions concerning the HotelPass, registration, login or technical problems, as well as general questions regarding use of the booking platform and partner hotels.
(3) Where a booking request is handled by WCS, WCS carries out the actual coordination of availability with the respective partner hotel.
(4) The provision of customer service by IPV GmbH does not make IPV GmbH an intermediary or contractual partner of the respective accommodation contract.
§ 17 Unused Services and Cash Payment
(1) Unused overnight stays under the 3-, 7- and 14-night HotelPass variants may be used for further stays within the respective validity period in accordance with the applicable product and booking conditions.
(2) After expiry of the respective validity period, there is no entitlement to further use of unused overnight stays, unless mandatory statutory provisions provide otherwise.
(3) Cash payment of the HotelPass or unused overnight stays is excluded to the extent that this does not conflict with mandatory statutory claims of the customer.
§ 18 Right of Withdrawal When Purchasing the HotelPass
(1) Consumers have the statutory right of withdrawal when purchasing the HotelPass by distance selling, in accordance with the separate withdrawal notice provided in the online shop.
(2) The mere transmission of the HotelPass code by IPV GmbH or its activation is not, in these GTC, generally equated with the expiry of the statutory right of withdrawal.
(3) In the event of an effective withdrawal, IPV GmbH is entitled to block, or have blocked, the HotelPass code assigned to the withdrawn contract and thereby prevent its further use.
(4) Details concerning the right of withdrawal, the withdrawal period and the exercise of the right of withdrawal are set out in the separate withdrawal notice.
§ 19 Warranty and Liability
(1) The statutory warranty and liability provisions apply to the performance of IPV GmbH's own obligations under the purchase contract for the HotelPass.
(2) IPV GmbH is liable without limitation in particular in cases of intent and gross negligence, as well as for damages resulting from injury to life, body or health, in accordance with the statutory provisions.
(3) IPV GmbH is not the provider of the accommodation, catering or other hotel services subsequently owed by the partner hotel.
(4) Claims arising from defects in the specific hotel stay—for example, concerning room facilities, catering or other services to be provided by the hotel—must generally be asserted against the respective contractual partner under the accommodation contract.
(5) This does not affect liability of IPV GmbH for its own breaches of duty.
§ 20 Personal Data and WCS
(1) When selling the HotelPass, IPV GmbH does not, within the described business model, transmit customers' personal data to WCS solely on the basis of the purchase of the HotelPass.
(2) The customer receives an anonymous activation and/or voucher code from IPV GmbH.
(3) Personal data is not made available to WCS until the customer registers the HotelPass themselves via the designated platform and enters the required personal data there.
(4) The processing of personal data by IPV GmbH is governed by IPV GmbH's separate privacy policy.
(5) The subsequent processing of data under the responsibility of WCS is governed by the data protection information provided by WCS.
§ 21 Applicable Law
(1) The contractual relationship concerning the purchase of the HotelPass between IPV GmbH and the customer is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a consumer and has their habitual residence in another country, mandatory consumer protection provisions of the country of their habitual residence remain unaffected to the extent that they are legally applicable.
§ 22 Final Provisions
Should any provision of these GTC be or become wholly or partially invalid, the validity of the contract and the remaining provisions shall remain unaffected. The relevant statutory provisions shall replace any invalid provisions.
